Are you thinking of becoming a Manufacturer's or Pharmaceutical Sales Representative?

Manufacturers and Pharmaceutical companies do not always have your best interests at heart. Sales representative contracts will likely have onerous conditions which will enable the manufacturer to terminate the contract without cause, to slash commissions on a moment's notice, and to strip territory away. It is critical to have an attorney familiar with sales representative issues review the contract before it is signed. Mr. Wronko reviews sales representative contracts on a cost efficient basis.

Are you a Sales Representative and your principal stripped your territory, cut your commissions, or terminated your contract?

If the principal has taken adverse action, a sales representative should take legal recourse to protect his or her rights. Mr. Wronko represents sales representatives in legal disputes. He is a member of the Manufacturer's Agents National Association (MANA). He has been published in MANA's national publication, "Agency Sales." Are you considering a franchise-purchase opportunity?

Purchasing a franchise can be an exciting opportunity, but it is one that presents dangers and challenges. The franchisor may not have your best interests at heart. Mr. Wronko will review the proposed franchise agreement including provisions such as surrender of premises upon termination, the covenant not to compete, venue and choice of law, exclusive territory designations, and any disclaimers. He will also review the franchise offering circular to determine the franchisor's track record with other franchisees.

Do you own a franchise that is mired with problems?

While being given an exclusive territory, many franchisees experience the problem of encroachment. A franchisor may place other franchisees close to territorial boundaries. The result will be diminishing returns. Franchisees may also disagree with how the franchisor is spending advertising dollars. Mr. Wronko is an experienced litigator in such commercial disputes. He is also a member of the American Association of Franchisees.

Has your franchise been terminated?

If your franchise has been terminated, you may still have recourse under various state statutes that provide protections to franchisees. Mr. Wronko will ensure that the franchisor has not run afoul of such statutes.
